These Terms of Use (“Terms”) are an agreement between you and DeLow Dynamics (“DeLow Dynamics,” “we,” “us,” or “our”) governing your use of the Eloquo vocabulary-learning application, website, content, and related services (collectively, the “Service”). By downloading, accessing, creating an account for, purchasing through, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use Eloquo. If you are below the age of legal majority where you live, a parent or legal guardian must review and agree to these Terms for you. You represent that you may lawfully enter this agreement and are not prohibited from using the Service under applicable law.
2. License and permitted use
Subject to these Terms, DeLow Dynamics grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use Eloquo on Apple devices you own or control, in accordance with Apple’s usage rules, for personal educational and entertainment purposes.
You may not copy, sell, rent, lease, redistribute, publicly exploit, reverse engineer, bypass security or usage limits, scrape content at scale, interfere with the Service, impersonate another person, introduce malicious code, use automated systems without written permission, or use Eloquo in violation of law or another person’s rights. Rights not expressly granted are reserved.
3. Accounts and security
An account is optional for some features and may be required for connected features or cross-device restoration. You are responsible for accurate account information, safeguarding your sign-in credentials and device, and activity under your account. Tell us promptly at rich@delowdynamics.com if you believe your account has been compromised. Third-party sign-in methods are also governed by their providers’ terms.
4. Educational content and results
Eloquo is an educational tool, not a substitute for professional, academic, legal, medical, financial, translation, or employment advice. Definitions, examples, pronunciation, generated content, difficulty labels, and challenge answers are reviewed and designed for learning, but language is contextual and can change. We do not guarantee that every item is error-free, universally accepted, suitable for every dialect, or appropriate for every real-world situation.
Progress, streaks, mastery indicators, reminders, scores, and recommendations are motivational features, not certifications of language ability. You remain responsible for how you use a word and for verifying language in consequential settings.
5. Your content and feedback
You retain ownership of original sentences, reports, support messages, and other content you submit. You grant DeLow Dynamics a limited, worldwide, non-exclusive license to host, transmit, process, reproduce, and adapt that content only as needed to operate, secure, support, and improve the Service. Do not submit confidential information or material you lack the right to use.
If you send ideas or feedback, you permit us to use them without restriction or compensation, provided we do not publicly identify you without permission. Shared vocabulary records and aggregate quality statistics may be retained after account deletion when they no longer identify your learner history.
6. Advertising
The free version may display limited, clearly labeled native advertisements supplied by Google AdMob at natural breaks. Ads do not appear while you are actively answering, writing, speaking, or playing. Ad availability, content, and destination are controlled in part by third parties. An advertisement is not an endorsement by DeLow Dynamics. Your interaction with an advertiser is between you and that advertiser, subject to its terms and privacy practices.
7. Eloquo Ad-Free Forever
Eloquo offers an optional non-consumable in-app purchase currently called “Eloquo Ad-Free Forever.” The price shown by Apple at the time of purchase controls and may vary by country, tax, or currency. A verified purchase removes advertising from supported versions of Eloquo for the Apple ID associated with the transaction. It does not unlock separate paid products, transfer to another Apple ID, or guarantee that every Eloquo service will remain available indefinitely.
Apple processes the transaction, payment, receipt, refund, and applicable taxes. You can use Restore Purchases in Eloquo Settings to re-check an eligible entitlement. Refund requests are handled under Apple’s policies. Except where required by law or Apple’s rules, DeLow Dynamics does not separately refund App Store transactions.
8. Third-party services
Eloquo may rely on Apple, Google Firebase, Google AdMob, Google Sign-In, OpenAI, ElevenLabs, dictionary providers, and other service providers. Their services, links, and content are governed by their own terms and privacy policies. We are not responsible for a third party’s independent products, availability, security, content, or conduct. Use of the App Store is also subject to Apple’s applicable terms.
9. Availability, changes, and updates
We may add, change, suspend, or discontinue features; adjust the word library; correct or quarantine content; impose reasonable usage or safety limits; or require an update to maintain security and compatibility. Daily challenges, server-generated content, speech, ads, authentication, and syncing may be unavailable during maintenance, provider outages, network interruptions, or regional restrictions. The on-device fallback library is provided as a resilience feature, not a promise of uninterrupted service.
10. Intellectual property
Eloquo’s software, design, artwork, branding, curated lessons, challenge structure, audio presentation, documentation, and other materials are owned by DeLow Dynamics or its licensors and are protected by intellectual-property laws. “Eloquo,” associated marks, and visual identity may not be used without written permission. General dictionary facts and words themselves are not claimed as proprietary.
11. Suspension and termination
You may stop using Eloquo at any time and may delete an eligible account from Settings. We may restrict or terminate access if you materially violate these Terms, abuse the Service, threaten security or other users, create legal exposure, or if operating the Service becomes unlawful or impracticable. Where reasonable, we will try to provide notice and an opportunity to correct the issue. Provisions that by nature should survive termination—including ownership, disclaimers, liability limits, and dispute terms—will survive.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” DELOW DYNAMICS DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT CONTENT OR RESULTS WILL MEET YOUR EXPECTATIONS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELOW DYNAMICS AND ITS OWNERS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, PROFITS, GOODWILL, OR OPPORTUNITY; OR COST OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO ELOQUO, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO DELOW DYNAMICS FOR ELOQUO DURING THE TWELVE MONTHS BEFORE THE CLAIM OR US$50.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you. Nothing in these Terms limits rights that cannot lawfully be waived.
14. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless DeLow Dynamics and its owners, affiliates, licensors, and service providers from claims, damages, losses, liabilities, and reasonable costs arising from your unlawful use of the Service, your content, or your material violation of these Terms or another person’s rights.
15. Governing law and disputes
These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict-of-law rules. Unless applicable law requires otherwise, disputes that cannot be resolved informally will be brought in the state or federal courts serving Multnomah County, Oregon, and you consent to their jurisdiction. Before filing a claim, please contact us and allow 30 days for a good-faith attempt to resolve it.
16. Apple-required terms
These Terms are between you and DeLow Dynamics, not Apple. DeLow Dynamics, not Apple, is responsible for Eloquo and its content, maintenance, support, warranties, and claims, subject to these Terms. Apple has no obligation to provide support. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you upon acceptance. Your use must comply with applicable third-party agreement terms.
17. General terms
These Terms and the Privacy Policy are the entire agreement concerning the Service and supersede prior discussions about it. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, sale, or transfer of the Service. Headings are for convenience only.
18. Changes to these Terms
We may update these Terms to reflect changes in Eloquo, law, or our providers. We will post the revised Terms and update the “Last updated” date. If a change is material, we will provide additional notice when required. Continued use after the effective date means you accept the revised Terms; if you do not agree, stop using the Service.
